Thank you for using The Ladies Edge. These Terms of Service are a legally binding agreement between you and The Ladies Edge Enterprises, LLC (“The Ladies Edge,” “we,” “us,” or “our”) governing your use of:

our website at www.theladiesedge.com
our mobile application (“App”)
our SMS/text messaging services
our online community hosted on Circle (the “Circle Community”)
any other features, tools, content, or services we offer (collectively, the “Services”)

By accessing or using any of the Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least 18 years old (or have verifiable parental consent if you are 13–17) to use the Services. By using the Services, you represent that you meet this requirement and have the legal capacity to enter into this agreement.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials.
You are fully responsible for all activities that occur under your account.
Notify us immediately at [email protected] if you suspect unauthorized use.

3. Licenses Granted to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the website and Circle Community for personal, non-commercial purposes.
Install and use the App on devices you own or control.
Receive SMS messages after you opt in.

You may not copy, modify, distribute, sell, or lease any part of our Services or software, nor reverse-engineer or attempt to extract the source code.

4. User Content

You retain ownership of content you post, upload, or transmit (“User Content”). By posting User Content, you grant us and CircleCo, Inc. (our platform provider) an irrevocable, worldwide, royalty-free license to host, store, display, reproduce, modify for formatting, and distribute it in connection with operating and improving the Services.

You are solely responsible for your User Content. You represent and warrant that:

You own or have all necessary rights to post it.
It does not violate any third-party rights or applicable law.
It is not obscene, harassing, defamatory, or otherwise harmful.

We may (but are not obligated to) monitor, remove, or disable any User Content that violates these Terms.

5. Prohibited Conduct

You agree not to:

Use the Services for any illegal or unauthorized purpose.
Harass, bully, threaten, impersonate, or intimidate others.
Post spam, unsolicited promotions, or pyramid/business-opportunity schemes.
Upload viruses or malicious code.
Attempt to gain unauthorized access to the Services or other accounts.
Interfere with or disrupt the Services or servers.
Scrape, crawl, or use automated means to collect data without our permission.
Engage in or promote child sexual abuse material or exploitation (immediate ban and report to authorities).

6. SMS / Text Messaging

By opting in, you consent to receive recurring SMS messages (promotional and transactional) using an automatic telephone dialing system or prerecorded voice.
Message frequency varies. Message & data rates may apply.
Reply STOP to cancel, HELP for help.
Carriers are not liable for delayed or undelivered messages.
We will never share your phone number or opt-in data with third parties/affiliates for their marketing purposes.

7. Giveaways, Sweepstakes & Contests

All giveaways, sweepstakes, and contests (“Promotions”) offered through the Services are governed by these Terms and any specific official rules posted for that Promotion.

No purchase is necessary to enter or win.
Alternative method of entry (AMOE): To receive one (1) entry without making a purchase, send a legible, hand-printed postcard or letter containing your full name, complete mailing address, email address, phone number, and the name of the specific Promotion to: The Ladies Edge, 7500 Green Meadows Dr Suite 3104, Lewis Center, OH 43035. Entries must be postmarked by the Promotion deadline and received no later than 5 business days after the deadline.
Purchase-based bonus entries: For every $25 you spend on qualifying purchases during the Promotion period, you will automatically receive one (1) additional entry (or the number of bonus entries stated in the official rules). Bonus entries are non-transferable and have no cash value.
Void where prohibited. Promotions are open only to legal residents of the United States who are 18 or older (or have parental consent if 13–17). Winners are responsible for all taxes and fees associated with prize receipt and/or use.
Full official rules, including exact entry periods, prize details, odds, and winner selection method, will be posted on the specific Promotion page or emailed to entrants.

8. Payments & Refunds

All purchases are final except as stated in the specific product refund policy at the time of purchase. Chargebacks or disputes filed in violation of that policy may result in account suspension.

9. Intellectual Property

All content we provide (excluding your User Content) is owned by us or our licensors and protected by copyright, trademark, and other laws. You may not use it without our written permission except as expressly allowed.

10. Third-Party Services & Links

The Services may contain links to third-party websites or integrate with third-party platforms (e.g., Circle, payment processors, social media). We are not responsible for their content, privacy practices, or availability.

11. Termination

We may suspend or terminate your access at any time, with or without cause or notice. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive (e.g., ownership, disclaimers, limitations of liability, governing law) will continue.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE (OR $100 IF NO PAYMENT WAS MADE).

14. Indemnification

You agree to defend, indemnify, and hold harmless The Ladies Edge, its affiliates, officers, employees, and agents from any claims, damages, or expenses (including attorneys’ fees) arising from your use of the Services or violation of these Terms.

15. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS.

Informal Resolution

Before filing a claim, you agree to try to resolve the dispute by contacting us at [email protected]. We will try to resolve it with you.

Binding Arbitration

Any dispute not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (except as modified here). You and we both waive the right to a jury trial or to participate in a class action. Arbitration will take place in Franklin County, Ohio, or (if you prefer) by phone/video.

Exceptions

You may bring individual claims in small-claims court or pursue public injunctive relief under applicable law.

30-Day Opt-Out

You may opt out of arbitration by mailing written notice within 30 days of first accepting these Terms to:

16. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or a notice in the Services. Continued use after changes constitutes acceptance.

18. Miscellaneous

These Terms (and our Privacy Policy) are the entire agreement between us.
If any part is unenforceable, the rest remains in effect.
Our failure to enforce a right does not waive it.
You may not assign these Terms; we may.
